UMOWA

między Rządem Rzeczypospolitej Polskiej a Rządem Zjednoczonych Emiratów Arabskich

o współpracy gospodarczej,

podpisana w Abu Dhabi dnia 22 kwietnia 2012 r.

Rząd Rzeczypospolitej Polskiej i Rząd Zjednoczonych Emiratów Arabskich, zwane dalej „Umawiającymi się Stronami",

pragnąc dalszego umacniania przyjaznych stosunków między państwami Umawiających się Stron,

uwzględniając postanowienia umów międzynarodowych, które wiążą Umawiające się Strony w dziedzinie współpracy gospodarczej,

mając na uwadze członkostwo Rzeczypospolitej Polskiej w Unii Europejskiej,

mając na uwadze członkostwo Zjednoczonych Emiratów Arabskich w Radzie Współpracy Państw Zatoki,

dążąc do rozszerzania i rozwoju stosunków gospodarczych między Rzecząpospolitą Polską i Zjednoczonymi Emiratami Arabskimi,

uzgodniły co następuje:

Artykuł 1

1.    Umawiające się Strony będą sprzyjać rozwojowi wzajemnie korzystnej współpracy gospodarczej we wszystkich dziedzinach i sektorach gospodarki na zasadach równości i wzajemnych korzyści, zgodnie z prawem obowiązującym w państwach Umawiających się Stron.

2.    Współpraca realizowana w ramach niniejszej Umowy będzie m.in w następujących dziedzinach:

1)    przemysł:

2)    inwestycje;

3)    innowacje;

4)    wymiana handlowa;

5)    paliwa

6)    małe i średnie przedsiębiorstwa

7)    finansowania projektów gospodarczych.

Artykuł 2

1.    Współpraca, o której mowa w artykule 1 będzie realizowana w szczególności poprzez:

1)    współdziałanie w realizacji projektów stanowiących przedmiot wzajemnego zainteresowania w wybranych dziedzinach gospodarki,

2)    współdziałanie w dziedzinie certyfikacji i standaryzacji,

3)    rozwój usług konsultingowych, prawnych, bankowych i technicznych, w tym wspomagających realizację projektów inwestycyjnych na terytorium obu państw Umawiających się Stron,

4)    inicjowanie i popieranie różnorodnych form kontaktów, wymianę specjalistów i personelu technicznego, współpracę naukową i wymianę kadry naukowej, szkolenia, udział w targach i wystawach, misjach gospodarczych, przedsięwzięciach promocyjnych i innych przedsięwzięciach związanych ze współpracą gospodarczą i turystyczną.

2.    W celu realizacji współpracy gospodarczej w ramach niniejszej Umowy, Strony będą zachęcać właściwe jednostki oraz sektor prywatny do poszukiwania możliwości współpracy projektowej w różnych dziedzinach gospodarczych.

Artykuł 3

1.    Właściwe organy Umawiających się Stron będą sprzyjać tworzeniu przedstawicielstw, oddziałów lub jednostek promujących działalność gospodarczą państwa drugiej Umawiającej się Strony.

2.    Zasady tworzenia i prowadzenia działalności przez przedstawicielstwa, oddziały i inne jednostki promujące działalność gospodarczą określa prawo obowiązujące w państwie Umawiającej się Strony, na terytorium którego podejmują one działalność.

Artykuł 4

1. W celu ułatwienia rozwoju współpracy gospodarczej właściwe organy Umawiających się Stron, zgodnie z prawem obowiązującym w państwach Umawiających się Stron, będą dokonywać wymiany informacji w zakresie:

1) prawa regulującego: warunki prowadzenia działalności gospodarczej, inwestycje, standaryzację, certyfikację, warunki udzielania koncesji, licencji i zezwoleń, ochronę własności intelektualnej i przemysłowej, praw autorskich i pokrewnych oraz inne dziedziny stanowiące przedmiot wzajemnego zainteresowania,

2) przedsięwzięć sprzyjających nawiązywaniu kontaktów między potencjalnymi partnerami gospodarczymi, w tym w zakresie organizacji wystaw, targów i misji gospodarczych.

2. Umawiające się strony będą poszukiwać możliwości inwestycji przemysłowych dla małych i średnich przedsiębiorstw oraz wspierać współpracę małych i średnich przedsiębiorstw we różnych dziedzinach.

Artykuł 5

1.    Umawiające się Strony powołują Wspólną Komisję do spraw Współpracy Gospodarczej, zwaną dalej „Komisją”.

2.    Do zadań Komisji należy w szczególności:

1)    analiza stanu wykonania postanowień niniejszej Umowy,

2)    dokonywanie okresowych przeglądów i ocen współpracy gospodarczej,

3)    przygotowywanie propozycji zmierzających do dalszego rozwoju współpracy gospodarczej,

4)    identyfikacja problemów ograniczających rozwój współpracy gospodarczej i proponowanie odpowiednich działań w celu ich eliminacji,

5)    omawianie spraw spornych dotyczących stosowania lub interpretacji niniejszej Umowy.

3.    Komisja składa się z sekcji polskiej i emirackiej, tworzonych na zasadzie parytetu. Przewodniczącymi narodowych sekcji Komisji będą Ministrowie właściwi do spraw gospodarki w każdym państwie Umawiających się Stron. Każdy z Przewodniczących wyznacza swojego zastępcę, sekretarza i pozostałych członków swojej sekcji.

4.    Komisja zbierać się będzie na posiedzenia w terminach uzgodnionych przez

Ministrów właściwych do spraw gospodarki każdej z Umawiających się Stron, na przemian w Rzeczypospolitej Polskiej i w Zjednoczonych Emiratach Arabskich.    '

5.    Każda z Umawiających się stron będzie ponosić koszty swoich delegacji na posiedzenia Komisji.

6.    Z posiedzenia Komisji sporządzany jest protokół w języku polskim, arabskim i angielskim, który jest podpisywany przez Przewodniczących sekcji. Protokół zawiera postanowienia przyjęte na posiedzeniu Komisji.

7.    W ramach Komisji mogą być powoływane:

1) stałe grupy robocze do spraw współpracy w wybranych dziedzinach gospodarki,

2) czasowo działające zespoły eksperckie dla opracowywania szczegółowych tematów współpracy gospodarczej.

8. Komisja może ustalić swój regulamin pracy.

Artykuł 6

1.    Postanowienia niniejszej Umowy nie naruszają praw i zobowiązań wynikających z umów międzynarodowych, stronami których są Rzeczpospolita Polska lub Zjednoczone Emiraty Arabskie, oraz z ich przynależności do organizacji międzynarodowych.

2.    Niniejsza Umowa nie narusza praw i zobowiązań Rzeczypospolitej Polskiej wynikających z członkostwa w Unii Europejskiej ani zobowiązań Zjednoczonych Emiratów Arabskich wynikających z członkostwa w Radzie Współpracy Państw Zatoki.

Artykuł 7

1.    Umowa niniejsza podlega przyjęciu zgodnie z prawem państwa każdej z Umawiających się Stron, co zostanie stwierdzone w drodze wymiany not. Umowa wejdzie w życie z dniem otrzymania noty późniejszej.

2.    Na wniosek jednej z Umawiających się Stron, niniejsza Umowa może być uzupełniona i zmieniona w formie pisemnej za obopólną zgodą.

3.    Spory dotyczące stosowania lub interpretacji niniejszej Umowy będą rozstrzygane przez Umawiające się Strony w drodze negocjacji i konsultacji.

4.    Niniejsza Umowa zawarta jest na czas nieokreślony.

Niniejsza Umowa może być wypowiedziana w drodze notyfikacji przez każdą z Umawiających się Stron; w takim przypadku utraci ona moc po upływie sześciu miesięcy od dnia otrzymania noty wypowiadającej.

Umowę niniejszą sporządzono w Abu Dhabi dnia 22 kwietnia 2012 roku, w dwóch egzemplarzach, każdy w językach polskim, arabskim i angielskim, przy czym wszystkie teksty mają jednakową moc. W przypadku rozbieżności w interpretacji Umowy, za rozstrzygający uważa się tekst angielski.

Agreement between

the Government of the Republic of Poland

and

the Govemment of the United Arab Emirates

on

Economic Cooperation

Preamble:

The Government of the Republic of Poland and the Government of the United Arab Emirates, hereinafter referred to as “the Contracting Parties”,

Desiróus of expanding mutual relations on a lasting and long term basis,

Convinced of the necessity of a lasting and effective cooperation in the interest of the countries of the Contracting Parties,

Taking into account the provisions of International agreements binding the Contracting Parties in the area of economic cooperation,

Having regard to the membership of the Republic of Poland in the European Union and to the membership of the United Arab Emirates in the Cooperation Council for the Arab States of the Gulf,

Confirming their interest in the strengthening of mutual cooperation,

Have agreed as follows:

Article 1

1.    The Contracting Parties shall support the development of mutually advantageous economic cooperation in all domains and sectors of the economy, on the basis of equality and mutual benefits, in accordance with the national laws applicable in the countries of the Contracting Parties.

2.    The cooperation implemented under the present Agreement shall include, among others, the following areas:

1)    industry;

2)    investments;

3)    innovations;

4)    trade exchange;

5)    petro-chemicals;

6)    smali and medium size enterprises (SMEs);

7)    financing of economic projects.

Article 2

1. The implementation of article 1. shall be elaborated in particular through:

1)    collaboration in executing projects of mutual interest in selected branches of the economy;

2)    collaboration in the domain of certification and standardisation;

3)    development of consulting, legał, banking and technical services, including those conducive to the implementation of investment projects within the territories of both countries of the Contracting Parties;

4)    initiating and supporting various forms of contacts, specialist and technical personnel exchange, scientific collaboration and personnel exchange, trainings, participation in trade shows and exhibitions, economic missions, promotional events, and other undertakings connected with cooperation in the field of economy and tourism.

2. In order to implement the economic cooperation in terms of this Agreement, the Contracting Parties shall encourage their relevant specialized entities and private sector to explore the possibilities of executing projects in various fields of economic cooperation.

Article 3

1.    The competent authorities of the Contracting Parties shall encourage the establishment of representative offices, branches or units promoting economic activity of the country of the other Contracting Party.

2.    The rules for establishing representative offices, branches, and other units promoting economic activity, as well as for their operation, shall be governed by the law in force in the country of the Contracting Party in whose territory the said entities undertake economic activity.

Article 4

1. In order to facilitate economic cooperation, the competent authorities of the Contracting Parties, in accordance with the law in force in the countries of the Contracting Parties, shall exchange information on:

1)    the law governing: conditions for conducting economic activity; investments; standardisation and certification; conditions for granting concessions, licences and permits; protection of intellectual and industrial property, as well as of copyright and derivative rights; and other domains of mutual interest;

2)    undertaking steps conducive for the establishment of contacts between potential economic partners, including the information on organising exhibitions, trade shows and economic missions.

2. The Contracting Parties will foster cooperation between smali and medium size enterprises in all areas and shall explore possible industrial investments and cooperation opportunities in this regard.

Article 5

1. The Contracting Parties appoint the Joint Commission for Economic Cooperation, hereinafter referred to as “the Commission”.

2.    The tasks of the Commission shall include in particular:

1)    following up the implementation of the provisions of this Agreement;

2)    conducting periodical reviews and assessments of economic cooperation;

3)    preparing proposals aimed at further development of economic cooperation;

4)    identifying problems hindering the development of economic cooperation and proposing appropriate measures to eliminate such obstacles;

5)    discussing controversial issues regarding the application and interpretation of the present Agreement.

3. The Commission shall be composed of Polish and Emirate sections, established on a parity basis. The national sections of the Commission shall be chaired by the Ministers in charge of economic affairs in the countries of the Contracting Parties. Each of the Chairpersons shall appoint their deputy, secretary and the remaining members of their section. Whereas necessary, each section may invite experts and advisors at the Commission meetings.

4.    The Commission shall hołd meetings on dates agreed by the Ministers in charge of economic affairs in the countries of the Contracting Parties, alternately in the Republic of Poland and in the United Arab Emirates.

5.    Each Contracting Party shall bear the cost of its delegations to the meetings of the Commission.

6.    Protocols from the meetings of the Commission shall be drawn up in Polish, Arabie and Engiish and shall be signed by the Chairpersons of respective sections. The protocol shall contain the decisions madę at the meeting of the Commission.

7.    Within the Commission there may be created:

1) standing working groups for cooperation in selected branches of the economy;

2) temporarily operating expert teams for elaborating on specific themes in economic cooperation.

8. The Commission may establish its rules of procedurę.

Article 6

1.    The stipulations of the present Agreement do not infringe upon the rights and obligations ensuing from international agreements which the Republic of Poland or the United Arab Emirates are parties to, nor upon the rights and obligations resulting from their membership in international organisations.

2.    The present Agreement does not infringe upon the rights and obligations resulting from the membership of the Republic of Poland in the European Union and óf the United Arab Emirates in the Cooperation Council for the Arab States of the Gulf.

Article 7

1.    The present Agreement shall be subject to adoption in accordance with the law of the countries of the Contracting Parties, which shall be established through the exchange of notes. The Agreement shall enter into force on the day of receiving the latter of the notes.

2.    At a request of one Contracting Party, the present Agreement may be supplemented and amended in writing upon mutual consent.

3.    The Contracting Parties shall resolve the disputes concerning the interpretation or application of the present Agreement by way of negotiations and consultations.

4.    The present Agreement is concluded for an indefinite period of time. It may be terminated by way of notification by any of the Contracting Parties. Should it happen, the Agreement shall expire after six months from the day of receiving the termination notę.

IN WITNESS WHEREOF the underslgned being duły authorised thereto by their respective Governments have signed this Agreement.
